Terms of Service

These terms govern your use of MIA FreightOS. By creating an account, or by using the platform as a member of an organisation, you agree to them. If you are accepting on behalf of a business, you confirm you are authorised to do so.

1. What MIA FreightOS is

MIA FreightOS provides software for coordinating transport work: recording jobs, allocating drivers and vehicles, capturing proof of delivery, and producing quotes and invoices. We are a technology and coordination service. We do not carry freight, employ drivers, operate vehicles, or act as a transport operator or freight forwarder.

2. Your responsibilities

  • MIA FreightOS is a technology and coordination service. It does not carry freight, employ drivers, or operate vehicles.
  • You remain responsible for lawful operation, including licensing, accreditation, vehicle condition and roadworthiness, insurance, and chain-of-responsibility duties.
  • You remain responsible for fatigue management, work/rest records, load restraint, mass and dimension limits, dangerous goods handling and all applicable road rules.
  • Times, distances, allocations and any AI-generated suggestions are indicative only. Every operational decision remains yours and must be checked against real conditions.
  • MIA FreightOS does not guarantee safety, compliance, delivery outcomes, pricing accuracy or third-party performance.
  • The platform is not a substitute for professional, legal, engineering, medical or safety advice. Obtain your own advice where required.
  • You must not book, dispatch or accept a job that you cannot perform safely and lawfully. Stop work and report any unsafe condition.

You are also responsible for the accuracy of the records you enter, for keeping login credentials secure, for the lawful basis on which you enter another person’s details (including drivers and customer contacts), and for not using the platform to store material you have no right to store.

3. Accounts, organisations and roles

Each organisation is a separate tenant. Owners and admins control who can join, what role they hold, and the subscription. Drivers see only their assigned work and customer portal users see only their own bookings. Owners are responsible for removing access when a person leaves.

4. Activating an organisation

MIA FreightOS is a paid subscription service. A new organisation becomes operational once an owner or admin completes checkout and the payment provider confirms an active subscription. Until then, account creation and sign-in work but operational modules are unavailable. Your data remains available for export while the organisation is open.

5. Subscriptions, pricing and GST

  • Plans are billed monthly in advance in Australian dollars: Startup at $29 per month and Growth at $79 per month, each including 10% GST.
  • Payment is processed by Stripe using its hosted checkout and customer portal. Card details are never entered into, transmitted through, or stored by MIA FreightOS.
  • The subscription renews each month until cancelled. There is no lock-in contract.
  • You can cancel at any time through the billing portal. Cancellation takes effect at the end of the paid period; we do not provide pro-rata refunds for part months except where required by the Australian Consumer Law.
  • A tax invoice showing the GST component is issued for each successful payment and is available from the billing portal.
  • If a payment fails we may suspend paid features until it is resolved. We will tell you before that happens.
  • We may change prices with at least 30 days' notice by email; you can cancel before the change takes effect.

6. Acknowledgement records

Before booking, dispatching or accepting a job you will be asked to accept a safety and legal acknowledgement. We record the accepting user, organisation, acknowledgement version, timestamp and device details as an operational record.

7. AI features

AI Dispatcher features produce suggestions only. They never make safety-critical decisions, and any action that changes dispatch, pricing, bookings or customer communication requires explicit human confirmation. Suggestions must not be relied on in place of your own checks or professional advice.

8. Your data

You keep ownership of the records you enter. We use them to provide and support the service, as described in our Privacy Policy. You can export your organisation’s data at any time and request deletion when you close it.

9. Acceptable use

Do not attempt to access another organisation’s data, probe or interfere with the security of the service, resell access without our written agreement, or use the platform for unlawful freight activity. We may suspend an account that puts the service or other customers at risk.

10. Availability and support

We aim for continuous availability but do not guarantee uninterrupted service, and we may perform maintenance or release changes. Support is provided by email at miafreight@outlook.com during Australian business hours.

11. Liability

We do not guarantee safety, compliance, delivery outcomes, third-party performance or uninterrupted availability. This is a contractual acknowledgement of your responsibilities, subject to applicable law. It does not exclude liability or consumer guarantees that cannot be excluded under Australian law.

Nothing in these terms excludes, restricts or modifies any consumer guarantee, right or remedy under the Australian Consumer Law that cannot lawfully be excluded. Where we are permitted to limit our liability, our total liability for any claim is limited, at our option, to re-supplying the service or refunding the subscription fees you paid in the 12 months before the claim. To the extent permitted by law we are not liable for indirect or consequential loss, including lost profit, lost freight revenue, fines or penalties arising from your operations.

12. Suspension and termination

You may stop using the service and cancel at any time. We may suspend or end access for non-payment, a breach of these terms, or conduct that risks safety or the security of the platform. On termination we handle your records as set out in the retention section of the Privacy Policy.

13. Changes to these terms

We may update these terms. Material changes are notified in the app or by email, and the acknowledgement version is bumped so you are asked to accept again. Continuing to use the service after a change means you accept the updated terms.

14. Governing law and contact

These terms are governed by the laws of Australia and the courts of Australia have jurisdiction. Questions about these terms go to miafreight@outlook.com.
